Lincoln City's board are expected to give the go-ahead to a share issue at an extraordinary general meeting at Sincil Bank on Thursday evening.
A proposal to make new shares available has been blocked at the Imps' last two annual general meetings.
But the club are confident of success after director Chris Travers bought former director Ray Trew's holding.
The board need three quarters of the vote at the shareholders' meeting to carry a special resolution.
Chairman Steff Wright has promised that income from the share issue will be made available to manager Peter Jackson to strengthen the Imps' squad.
"Everything ends up going to the manager," Wright told BBC Radio Lincolnshire.
"We try to run a tight budget and if we keep our costs under control then the suplus is there for the manager to spend on the first team."
