Lincoln City's board have agreed to call an Extraordinary General Meeting to approve issuing shares in the club.
At the last two Annual General Meetings a special resolution aimed at making new shares available has been blocked.
But the Imps board are now confident of success as former director Ray Trew's holding in the club has been bought by current director Chris Travers.
The board need to get 75% of the vote at the shareholders' meeting on 29 May to carry a special resolution.
Lincoln chairman Steff Wright told BBC Radio Lincolnshire: "We've got a number of fans who want to buy shares, and in addition to that we have got a couple of people who want to buy more substantial amounts of shares.
"Everything at the football club makes it's way through to the pro-budget and we are putting forward a competitive budget for next season."
