Preston North End are holding discussions with Deepdale PNE Holdings Limited over a potential takeover.
The talks follow Preston North End plc being served with a winding up petition by HM Revenue and Customs on 14 May, with shares in the company suspended.
A stock exchange statement said: "There can be no certainty that an offer will be made or as to the terms on which any offer would be made.
"A further announcement will be made in due course, if and when appropriate."
DPNE, a newly-formed company controlled by Lancashire businessman Trevor Hemmings, is associated with Guild Ventures Limited, the largest shareholder in Preston North End plc, holding 28.02% of the ordinary shares in the company.
