Chesterfield chairman Barry Hubbard says two parties are competing to invest in the club.
Three groups had expressed interest in investing in the Spireites, but Hubbard has told BBC Radio Sheffield the club has rejected one offer.
"The offer that one of them made we couldn't accept," he said. "Although it was a good offer, it wasn't enough.
Hubbard will not name the two groups but added: "One is better than the other, but they are both good."
