ABN Amro's chief executive, Rijkman Groenink, has asked for his nomination to Royal Dutch Shell's supervisory board be withdrawn. The oil company's shareholders were due to vote on the motion on Tuesday.
"The reason for his decision is that he wants to fully dedicate his attention to ABN AMRO," Shell said.
ABN Amro is currently the target of takeover bids from Barclays Bank and a consortium of Royal Bank of Scotland (RBS), Fortis and Banco Santander.
The takeover battle has stalled following a Dutch court decision that ABN could not sell its US subsidiary LaSalle to Bank of America without shareholder approval.
RBS has confirmed that it offered $24.5bn (�12.4bn) for LaSalle, but that its offer was declined in favour of Bank of America's offer, made on 6 May.
In an interview with Germany's Handelsblatt newspaper, Bank of America's chief executive Kenneth Lewis ruled out raising its agreed $21bn offer for LaSalle.
